Welcome to Rdigital. These Terms & Conditions (“Terms”) govern your use of our services, including Facebook Management, Instagram Management, YouTube Management, LinkedIn Management, Media Buying, and Creative Solutions (collectively, the “Services”).

By using our Services, you agree to comply with and be bound by these Terms. Please read them carefully.

1. Services

Rdigital provides social media management, digital marketing, media buying, and creative solutions as agreed in the service contract or proposal.

2. Eligibility

By using our Services, you confirm that:

You are at least 18 years old.

You have the authority to enter into a binding agreement on behalf of yourself or your company.

3. Client Responsibilities

You agree to:

Provide accurate information, access, and materials required to perform our Services.

Ensure you have the necessary rights and permissions to share any content, data, or accounts with us.

Comply with all applicable laws, regulations, and the terms of third-party platforms (e.g., Facebook, Instagram, YouTube, LinkedIn).

4. Fees & Payment

All fees will be agreed upon in writing before services begin.

Payments must be made according to the agreed schedule.

Late payments may result in suspension or termination of Services.

Fees are generally non-refundable unless otherwise stated in the service agreement.

5. Intellectual Property

Content created by Rdigital (designs, campaigns, creatives) will remain our property until full payment is received.

After full payment, ownership of creative materials will transfer to the client, unless otherwise agreed.

Client retains ownership of their brand assets, logos, and content provided to Rdigital.

6. Confidentiality

We will treat all information shared by clients as confidential and will not disclose it to third parties, except as required to deliver Services or by law.

7. Use of Third-Party Platforms

Our Services often require the use of third-party platforms (e.g., Facebook, Google, YouTube, LinkedIn). You acknowledge that:

Rdigital has no control over these platforms.

We are not responsible for downtime, policy changes, or disruptions caused by third-party platforms.

8. Limitation of Liability

To the fullest extent permitted by law:

Rdigital will not be liable for indirect, incidental, or consequential damages.

Our total liability for any claim will not exceed the total fees paid by you for the Services in the past three months.

9. Termination

Either party may terminate the agreement with written notice, subject to the terms of the service contract.

Upon termination, all outstanding payments must be settled.

Access to creative files, campaign data, or accounts may be revoked if payments are outstanding.

10. Indemnification

You agree to indemnify and hold Rdigital harmless against any claims, damages, or losses arising from your use of our Services, content provided by you, or violation of these Terms.

11. Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes will be resolved in the courts of bangladesh.

12. Changes to Terms

We may update these Terms from time to time. Continued use of our Services after changes means you accept the updated Terms.
